1. About Us
JD Web Services Limited is registered in England and Wales.

Registered address: 104 High Street, Mold, Flintshire, CH7 1BH
These Terms apply to all services provided by JD Web Services Limited unless otherwise agreed in writing.
2. Acceptance of Terms
By accepting a quotation, paying an invoice, instructing us to commence work, or continuing to use our services, you agree to be bound by these Terms.
All quotations, invoices, and services are subject to these Terms unless superseded by a signed written agreement.
3. Payment Terms
Payment terms are 30 days unless stated otherwise on the invoice.
Payment for hosting, care plans, retainers, and ongoing services is required in advance of the period to which the service relates.
Failure to pay within the stated timeframe may result in:
- Statutory interest charged under the Late Payment of Commercial Debts (Interest) Act 1998
- Statutory compensation under section 5A of the Act
- An administration fee of £45 plus VAT
- Restriction or suspension of services, including hosting, websites, and email
We reserve the right to withhold services where invoices remain unpaid.
4. Communication
Our primary means of communication is via email.
It is your responsibility to ensure contact details are kept up to date and to monitor communications sent via these channels.
5. Website Design and Development
All timeframes provided are estimates only.
JD Web Services Limited shall not be liable for losses arising from delays caused by:
- Client feedback delays
- Late content delivery
- Changes to scope
Where scope changes occur, additional fees may apply.
Once a project is completed, the client has 14 days to request fixes relating only to:
- Functional errors
- Minor visual tweaks
- Spelling mistakes
After this period, further changes may be chargeable.
6. Ownership and Intellectual Property
Upon full payment, the client owns the final website deliverables created specifically for them, excluding third party software.
JD Web Services Limited retains ownership of:
- Frameworks
- Configurations
- Reusable code
- Internal systems and processes
Third party software, themes, and plugins remain subject to their respective licences.
7. Third Party Software and Plugin Licences
Websites may include third party themes, plugins, or software.
Unless explicitly agreed otherwise in writing:
- Premium or pro plugin licences remain the property of JD Web Services Limited
- Licences are provided only while hosting or care plans remain active
- Licences are non transferable
Upon termination of hosting or care plans:
- Licence keys may be removed or deactivated
- Plugins may remain installed but will not receive updates
- The client is responsible for purchasing their own licences
JD Web Services Limited is not responsible for security issues, incompatibilities, or failures caused by expired or removed licences.
8. Hosting Services
Hosting is provided on either an annual or monthly basis, at our discretion.
Where monthly hosting is agreed:
- Hosting is billed in advance
- Either party may terminate with 30 days written notice
- No refunds are provided for prepaid periods
Failure to pay hosting fees may result in suspension.
If hosting is cancelled or terminated:
- Files and data may be deleted after 30 days unless otherwise agreed
- A final backup may be requested within 14 days
- Outstanding invoices must be settled before release of files
9. Hosting Support
Issues caused by our hosting environment will be addressed as part of the hosting service.
Issues caused by:
- Client modifications
- Third party services
- External systems
May be chargeable at our hourly rate.
10. Website Care Plans and Retainers
Care plans and retainers are provided on a rolling monthly basis.
Unless stated otherwise, care plans include up to 1 hour per month.
Unused hours do not roll over.
Where no requests are made, time may be used for maintenance and updates at our discretion.
11. Termination of Ongoing Services
Either party may terminate hosting, care plans, retainers, SEO, or ongoing services with 30 days written notice.
JD Web Services Limited reserves the right to terminate services at its discretion, provided reasonable notice is given.
Upon termination:
- All ongoing services cease at the end of the notice period
- We are no longer responsible for security, updates, or uptime
- Licenced software access may be withdrawn
12. Domains
Where JD Web Services Limited registers a domain on your behalf:
- Domains are set to auto renew
- It is your responsibility to notify us if renewal is not required
Transfer or release of domains may incur a fee.
13. SEO and Marketing Services
SEO, PPC, and marketing services are billed monthly unless stated otherwise.
We recommend a minimum 3 to 6 month period for SEO services.
We do not guarantee rankings, traffic, sales, or enquiries.
Algorithm changes are beyond our control and may impact results.
14. Limitation of Liability
JD Web Services Limited shall not be liable for:
- Loss of profits
- Loss of data
- Indirect or consequential losses
Total liability shall not exceed the amount paid in the preceding 12 months.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force.
16. Governing Law
These Terms are governed by the laws of England and Wales.
